a. All prices are subject to change to reflect the prices at the time of shipping. Prices, quantity discounts, and shipping fees are calculated on individual deliveries rather than the total order. Prices exclude VAT and shipping costs.
b. Payment methods include debit or credit card and pre-payment. The minimum invoice value for items is US $25, excluding VAT and shipping costs.
c. CoilsDB reserves the right to charge interest on overdue payments at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
d. In some circumstances, the shipping cost or product pricing may change on our vendors end. If these costs greatly exceed the initial expectation at time of order, the Buyer will be contacted to verify the higher charges. Shipment will not take place until the Buyer has confirmed the new charges. If the Buyer does not respond to the request for more than two weeks, CoilsDB has the right to cancel the order and issue a refund.
a. Ownership and risk of damage or loss during transit for all sold products transfer to the Buyer upon delivery to the initial carrier. CoilsDB maintains complete ownership of the delivered items until full payment, including any accrued interest, has been made.
b. In case of damage or loss during transit, the Buyer must promptly provide written notice to the carrier's agent at the destination and CoilsDB.
The Buyer is responsible for paying any current or future sales, use, or excise taxes, whether federal, state, or local, related to the sold material or based on the revenue from it. If taxes are not collected at the time of payment, the Buyer will not hold CoilsDB accountable for such obligations.
CoilsDB is not liable for any delays in product delivery or shipment or for any damage experienced by the Buyer due to such delays. Delays may be directly or indirectly caused by or result from events such as vendor estimate changes, fires, floods, accidents, riots, war, government interference, strikes, labor or material shortages, inadequate transportation facilities, or other causes beyond CoilsDB's reasonable control.
Unless specified by the Buyer and agreed to in writing by CoilsDB, products supplied under these terms shall be produced following CoilsDB's vendors' standard practices. Quantity tolerances are acceptable up to +/-10%. CoilsDB is not responsible for any deviations from the values provided on its website.
CoilsDB generally does its best to offer return capability at the lowest cost and headache possible for our customers. That being said, our vendors have stricter policies that we must comply with, and these policies vary by vendor. CoilsDB and its Vendors have the right to cancel an order at any time. If an order is cancelled, the Buyer will be notified as soon as possible.
Product returns must be requested and returned to the manufacturer within 3 weeks of delivery. Cancellations by the Buyer will incur charges based on necessary adjustments to cover labor costs, materials procured or processed, and relevant overhead expenses as determined by CoilsDB. Returns are only accepted with CoilsDB's prior written agreement, and the Buyer bears the associated return costs. CoilsDB has the right to apply fees incurred for returning products to their original vendors, including a possible credit of 50% of the invoice sum. CoilsDB will not accept returned items without special prior agreement. In connection with such an agreement, CoilsDB will provide the customer with a return number. This return number must be included on the package or on the accompanying documentation when the goods are returned. A return agreement expires 1 week after the date the agreement was entered into. If the package or the accompanying documentation does not have a return number, the returned item may be refused, and no credit note will be issued. We cannot guarantee an accepted return of the item if the seal of the package is broken.
Products sold under these terms are subject to the original manufacturer's or vendor's warranties, if any, which may be passed on to the end-user. Coils DB is not a manufacturer, thus CoilsDB does not offer additional warranties, express or implied, for products sold on this website. To the extent permitted by law, CoilsDB expressly disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Customers seeking warranty service or repairs should can, however, contact CoilsDB, who can facilitate contact with the original manufacturer or vendor according to their warranty terms and conditions. CoilsDB is not responsible for fulfilling any warranties or resolving disputes arising from such warranties. Under no circumstances shall the Seller be held accountable for claims (stemming from the violation of express warranties or negligence) involving any other damages, be they direct, immediate, foreseeable, consequential, or special. Additionally, the Seller shall not be liable for any expenses incurred due to the usage, misuse, sale, or manufacturing of products that either comply with or deviate from the terms and conditions of this agreement.
CoilsDB declares that the products covered by this contract will be produced in compliance with all applicable requirements of sections 6, 7, and 12 of the Fair Labor Standards Act, as amended, and regulations and orders issued by the United States Department of Labor under section 14 thereof, and with all non-discrimination provisions of Section 301 of Executive Order 10925 issued by the President of the United States and effective April 1, 1961, the provisions of which are incorporated herein by reference.
The failure of CoilsDB or the Buyer to insist on the performance of any terms, covenants, or conditions in this contract or to exercise any right within it, in one or more instances, shall not be interpreted as a waiver or relinquishment of future performance of such terms, covenants, or conditions or the future exercise of such rights. It shall also not be considered as a waiver or relinquishment of any other term, covenant, or condition or the exercise of any other rights under this contract.
In case of actual defects or product damage, CoilsDB is only responsible if it can be proven that the defect or damage is due to error or negligence on CoilsDB's part. Unless otherwise stated in unalterable rules of law, CoilsDB is not liable for loss of profits, loss of time, markups, or other indirect losses suffered as a result of the aforementioned deficiencies and product damage. CoilsDB's liability for damages can, in addition, total a sum no higher than the invoice sum for the delivery in question. CoilsDB cannot be held responsible for damage resulting from the overloading of delivered items, incorrect use of items, or any brittleness or defects resulting from surface treatment.
If specific requirements are to be made of an item or its use, this must be specified in writing no later than the point of ordering. CoilsDB can never be held responsible for advice and calculations because CoilsDB cannot be considered to be conversant with assemblies, installation, weights, etc. The customer is entirely responsible for ordering and using the purchased items based on the received information.
In the event of any disputes, controversies, or differences arising between the parties in connection with this contract or the breach thereof, the parties shall first attempt to resolve such disputes in good faith through negotiation. If the parties are unable to resolve such disputes through negotiation within a reasonable period, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The place of arbitration shall be Morristown, New Jersey, and the language of the arbitration shall be English. The arbitration award shall be final and binding upon the parties, and judgment upon the award may be entered in any court having jurisdiction thereof.
If any provision of these Terms and Conditions is found to be invalid, void, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severable, and the remainder of the Terms and Conditions shall continue in full force and effect without being impaired or invalidated in any way.
These Terms and Conditions, along with any other documents or agreements incorporated by reference herein, constitute the entire agreement between CoilsDB and the Buyer with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral, with respect to such subject matter.
Any notices or other communications required or permitted under these Terms and Conditions shall be in writing and shall be deemed given when personally delivered, sent by certified mail (return receipt requested), or by email, to the respective parties at the addresses set forth in the sales order or invoice, or at such other address as either party may designate in writing.
The Buyer may not assign, delegate, or otherwise transfer its rights or obligations under this contract without the prior written consent of CoilsDB. CoilsDB may assign or transfer its rights and obligations under this contract to any successor in interest or to any entity that acquires all or substantially all of the assets of CoilsDB.
This contract may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
No modification, amendment, or waiver of any provision of these Terms and Conditions shall be effective unless in writing and signed by the party against whom such modification, amendment, or waiver is sought to be enforced, and signed by its authorized representative. No failure or delay by either party in exercising any right, power, or remedy under these Terms and Conditions shall operate as a waiver of such right, power, or remedy.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms and Conditions if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, natural disasters, epidemics, pandemics, or governmental actions. The affected party shall promptly notify the other party of the existence and nature of the force majeure event and shall use its best efforts to resume performance as soon as practicable.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflicts of law principles. The parties hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey, in connection with any action arising out of or relating to these Terms and Conditions.
The headings used in these Terms and Conditions are for convenience only and shall not be used to limit or construe the contents of any of the sections hereof.
CoilsDB and the Buyer are independent contractors, and nothing in these Terms and Conditions shall be construed as creating a partnership, joint venture, agency, or employment relationship between the parties. Neither party shall have the authority to bind the other party or to assume or create any obligations on behalf of the other party, whether express or implied, without the other party's prior written consent.
These Terms and Conditions are for the sole benefit of CoilsDB and the Buyer and their respective successors and permitted assigns, and nothing herein shall be construed to create any rights or remedies in favor of any third parties, including but not limited to any employees, agents, or customers of either party.
